The HWFC Board of Directors met on Wednesday, October 24.

Bylaws

The Bylaws committee presented the final draft of the complete and revised bylaws, which will be presented to the membership for approval. This revision process has been conducted over the past two years. The Board commended the committee for its work. The Board will now begin review of the revised document. The Coop's attorney will be consulted for any additional concerns.

Employee Council

It was proposed that there be an Employee Council that elects one member to serve as a member of the Board of Directors. The Board will discuss this further at the next meeting.

Energy Needs

The Science Application International Corporation completed their study of the Coop's energy needs. It was recommended that the store's two electrical services be combined into one system. This will not conserve energy, but should save the Coop about $1,000 a year. The cost to make these changes will be about $2,500, and will be made shortly.

Containers

It was reported that the New York State Department of Agriculture & Markets has agreed to allow reusable containers in the store (with some exceptions). Containers would need to be checked at the service desk, and a few other details needed to be worked out. The Board recognized director Louise Roback for her role in these efforts.

Scanner System

Improvements have been made to the check-out scanners (PoS system). The General Manager will make a list prioritizing the remaining problems.

New Positions

Whether the Coop might want to have a someone act as a Greeter is being considered. A description for a new paid position has been developed for an Assistant General Manager. Discussion of this position was tabled until the next meeting.

Board Process

The Board discussed its meeting process. However, time ran short and directors agreed to e-mail suggestions about process to one director, who agreed to collect and collate the information.

Executive Session

The Board met in executive session at the end of the meeting.

Minutes

Minutes of all Board meetings are available at the Coop. Minutes of the most recent meeting are posted on the bulletin board.

Next Meeting

The Board will meet on Wednesday, December 19. Meetings are held at 326 Ontario Street, Albany, at 7 pm. It is recommended that anyone planning to attend confirm the time and location.
