The HWFC Board of Directors met on Wednesday, October 18.

Donation Policy A draft of the proposed donation policy was reviewed. The Collective Management Team (CMT) generally likes the policy. The Governance committee has concerns that it gives too much veto power to the Board and will discuss this at their next meeting. The Board’s president was concerned about the means of choosing recipients of larger donations. She suggested that the Coop might want to work with the Community Foundation of the Capital District on such donations, perhaps setting up a fund with them. A meeting with the foundation is planned and this issue will be put on hold until after that meeting.

Raising the limit of small donations to $200 was discussed. What percentage of the donation budget should be small donations was another question. One suggestion was to limit small gifts to onethird of donations, since larger donations to fewer groups make more impact. However, it was also noted that these modest donations can be very helpful to smaller groups that don’t generally get donations from large donors like the Community Foundation.

The Board will continue work on the policy.

Tabling

There was a discussion of the Coop’s tabling policy due to the conflicts that arose while some members were tabling regarding meat and fish sales. There was concern over whether staff can intervene if they feel the Coop’s policies are being misrepresented. After discussion, it was agreed that such action is a management prerogative and not the Board’s. It was requested that the CMT revise the policy that people wishing to table agree to, so that it is clear that misrepresentation will not be permitted. The CMT will bring any proposed changes back to the Board for their review.

Store News

The CMT requested that the back portion of our current building be leased. This section needs a number of improvements to be usable. After discussion, the Board agreed to lease the space provided necessary changes are made.

The fire sprinkler system has been inspected.

Committees

The Board was to have a special meeting in November to discuss committees.

Training

Several Board members have expressed interest in a training session on New York State law regarding cooperatives. An expert who could provide such training is being sought.

Survey

A survey was requested on why members don’t fulfill their work requirements. The Membership committee will conduct the survey and aim to report back to the Board in March.

Referendum

Preparations were made for the end-of- October referendum on the product manual, second site, and meat/fish sales. Who should count ballots and how to announce the results were discussed. It was noted that work on general guidelines for future referenda will wait until we see how this one went.

Minutes

Minutes of all meetings are available at the Coop. Minutes of the most recent meeting are posted on the bulletin board.

Upcoming Meetings

A Board meeting is scheduled for Tuesday, December 20. Meetings are held at 5:30 pm at the Coop. Date, time, and location can change, though, so anyone planning to attend should confirm these closer to the date.
