The HWFC Board of Directors met on Tuesday, April 24.

Fund Raising from Members 

The Board has been looking at the possibility of borrowing money from members for Co-op expansion. A proposal outlining possible terms of loans was presented. One Co-op member noted concerns over this plan, in particular that the minimum loan would be $1,000, which would prevent many members from participating. He suggested an alternative that might allow for greater participation and that could be used in tandem with the original plan. The Board asked him to develop a full proposal and bring it back for discussion. The Board went on to discuss fund raising in general and voted to create an ad hoc committee charged with developing a fund raising plan. 

Personnel

The Personnel committee discussed the goal of using alternative dispute resolution as a means of settling conflicts at the Co-op. This represents a culture shift away from win-lose situations. The committee also presented their latest revision of the Grievance Procedure for staff. The committee is still working on this, but the Board approved the direction taken in the current draft. 

On-going Policy Review

The Board has been reviewing the written policies of the Co-op. At this meeting, they looked at the policy for use of the Coop’s community room. The policy was approved as written. 

Board Business

This was the last Board meeting before the April Membership Meeting where new Board members will be elected. The three Board members finishing their terms, George Broeckx, Howard Brent and Ray Ratte, were thanked for their service. 

Plans for the Board retreat for new and returning directors were discussed. The retreat allows Board members to look at what needs to be done in the upcoming year.

The Board will participate in an upcoming sexual harassment training being organized by the Collective Management Team. 

Policy for Creating Change

Members of the Governance committee and the Board member working on this will be reviewing the proposed policy together. (Committee members had been in contact to clear up a misunderstanding at the last Board meeting about the extent to which they had been involved or “in the loop” on this matter before suggesting a number of changes.) 

Upcoming Membership Meetings

Plans for the April and June membership meeting were discussed. 

Executive Session

The Board met in Executive Session at the end of the meeting.

Minutes of all meetings are available at the Co-op. Minutes of the most recent meeting are posted on the bulletin board. They are also available on the Co-op’s website, as password protected files. Upcoming Meetings

This was the last meeting of the current Board. After Board elections, the returning members and new members will meet to set time, date, and location. Once these are available, they will be available on Meetings section of the Co-op’s website.
