The HWFC Board of Directors met on Tuesday, January 23.

Policy for Creating Change

A document entitled “Policy for Creating Change” was presented. This addresses the need for rules for conducting referenda, but also puts referenda within the context of the multiple ways of effecting change at the Co-op. Referenda are recommended only as a last resort. Board reaction was positive and various editorial changes were suggested. Once these are made, the document will be forwarded to the Governance committee for their consideration.

Utica Co-op

A group of people from Utica are interested in starting a co-op. They visited HWFC recently and held discussions with staff members.

Action on Global Warming

To address global warming, the Nutrition and Education committee has purchased 100 DVDs of the recent documentary An Inconvenient Truth, and is making up packets with additional materials and suggestions for action. These will be distributed to Coop members who wish to screen the film for groups. The committee will ask recipients to keep records of showings of the film. The committee hopes this initiative can be adopted by other co-ops.

Follow-up on the Budget Meeting

Overall, the Board felt the annual Budget Meeting held with the membership in January went well.

Feedback on the presentation of the budget was requested. It was noted that last year, there was little discussion. This year, the budget was presented section-by-section and there was lots of discussion. A certain amount of this seemed tangential to the budget itself. Other aspects of the discussion were helpful in letting the Board know the membership’s concerns and allowed members to engage with the process. It was suggested that next year the presentation might be improved by discussing the process by which the budget is constructed and noting long-term trends.

Finances

The Finance committee reported that the financial review of 2006 has been completed. Finances are good with few outstanding liabilities.

Employment Manual

The Personnel committee sought approval for various changes to the employment manual. A number were accepted. One, regarding cashing out vacation pay, was referred to the finance manager to see whether the procedure was in keeping with cash flow needs. There was an extensive discussion of the way “just cause” was defined and the matter was referred to the joint Board/Collective Management Team meeting for consideration. Additional items remain and will be discussed at a later meeting.

Membership Manual

The Membership committee circulated a revised copy of the membership manual. It will be discussed at a later meeting.

Annual Meeting

Preparations for the Annual Membership Meeting in April have begun. Committee liaisons were asked to prepare their summaries of the year’s activities for the Annual Report.

Executive Session

The Board met in executive session at the end of the meeting.

Minutes

Minutes of all meetings are available at the Co-op; minutes of the most recent meeting are posted on the bulletin board. They are also available on the Co-op’s website, as password protected files. See instructions on the website on obtaining a password. (See the Meetings section and go to “Board Meetings.”)

Upcoming Meetings

Board meetings are scheduled for the following Tuesdays: March 22 and April 17. Meetings begin at 5:30 pm in the Co-op’s Community Room. Date, time and location can change, however, so it is recommended that anyone planning to attend confirm these.
