Coop to elect members to Governance committee at June 5 meeting

 Coop'ers urged to attend

There will be a membership meeting on Sunday, June 5 in Room 224 of the Sage College Campus Center, in Albany. Social hour will start at 5 pm and the meeting will begin at 6 pm. This is an important meeting that includes the election of Governance committee members, a vote on several proposed amendments to the Coop bylaws, and other possible business.

The election of up to four additional members to the Governance committee will occur at this meeting, pending approval of a bylaws amendment (see item 4, below). All members current with their share payments and hours are eligible both to vote and run for seats on the committee. Nominations from the floor will be accepted, and are encouraged. The Governance committee is charged with ensuring Coop policies and procedures are consistent with the bylaws. The committee also advises the Board on bylaws- related issues, and supports the Board Secretary in maintaining the bylaws and policy-related records.

Some amendments to the bylaws that the Governance committee is working on and discussing with the Board, which may be voted on at the June 5th meeting, are:

1. Clarify voting rules if attendance at a membership meeting falls below quorum.

2. Create rules under which special awards can be made to individual members. A special award is defined as compensation not already awarded to the membership as a whole (i.e., discounts and coupons).

3. Clarification of member benefits and rights, including member access to non-confidential information.

4. Explicitly state the size and composition of the Governance committee, as well as eligibility to run and be elected to the committee.

5. Establish procedure for removing a member from a standing committee, in the event it becomes necessary.

6. Establish procedure for filling Board vacancies between annual Board elections.

The full text of all proposed amendments will be mailed to HWFC members prior to the meeting, as will any additional agenda items the Board wishes to add. Please join us on June 5. Attending member meetings is one of the best ways to know what is going on with the Coop, and it lets the folks making decisions get feedback from the members.
