REQUEST FOR REVIEW AND COMMENTARY
Proposal to Amend HWFC Bylaws to Address Conflicts of Interest and
Employee-Directors
While recognizing that the views of employees are valuable to the Board
and promote effective
Co-op governance, the Governance Review Council is concerned that
special conflicts of interest may arise for such "employee directors,"
particularly in personnel matters. Therefore, the Governance Review
Council has proposed a Bylaws amendment to address this issue and the
Bylaws Panel edited and approved the language. The Panel is asking for
comments prior to any further action. We will be accepting written
comments until October 15. Comments may be sent to the Panel at BLP@honestweight.coop or left
in an envelope addressed to the Bylaws Panel at the Service Desk in the
store. THIS IS NOT BEING OFFERED FOR A VOTE AT THIS TIME.
Copies of the proposal may be picked up at the member check-in computer.

| The Honest Weight Food Co-op welcomes
you as a customer, member and co-owner of a community interested in
being conscious of and in control of our food source. We are a
for-profit organization incorporated under the New York State
Cooperative law. Honest Weight, along with many other cooperatives, has
adopted the principles of International Cooperative Alliance Statement
of Cooperative Identity which is derived from the Rochdale Principles.
Members have equal voting rights (one member, one vote). The nine Board
of Directors are elected by the membership for 3 year terms. |
